Crafti Corgi Ltd - Terms & Conditions
1. Definitions
“Designer” refers to Crafti Corgi Ltd.
“Client” refers to the individual or business engaging Crafti Corgi Ltd for services.
“Project” refers to the agreed scope of design work.
“Deliverables” refers to the final design files or other completed work agreed to be supplied to the Client.
2. Scope of Work
All work will be carried out in accordance with the agreed brief, quotation, estimate, proposal or other written agreement.
Any work requested outside the agreed scope may incur additional fees. Where appropriate, additional work will be quoted or agreed separately before it is undertaken.
Changes to the scope of a Project may also affect previously agreed timescales or delivery dates.
3. Fees and Payment Terms
Unless otherwise agreed in writing, invoices are payable within 14 calendar days of the invoice date.
For first-time Clients, a 50% non-refundable deposit will normally be required before work begins. Crafti Corgi Ltd may waive or vary the deposit requirement at its discretion.
Where a deposit is required, the remaining balance must be paid in full prior to the release of final Deliverables, unless otherwise agreed in writing.
No final Deliverables will be released until all amounts due in respect of the Project have been paid in full.
Different payment terms may be agreed for individual Projects or Clients and will be confirmed in writing.
Crafti Corgi Ltd reserves the right to charge statutory interest and applicable debt recovery costs on overdue commercial invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, where applicable.
4. Revisions and Approval
Revisions will be provided in accordance with the scope or revision allowance agreed at the start of the Project.
Where unlimited revisions have specifically been included within a quoted service, these apply only to reasonable revisions within the original agreed brief and scope.
Substantial changes in direction, additional concepts, new requirements or work outside the original brief may be treated as additional work and charged separately.
Once the Client has approved the final design, any subsequent changes may be treated as additional work and charged accordingly.
5. Client Responsibilities
The Client agrees to:
provide a clear brief and any required content, information or assets in a timely manner;
provide clear and timely feedback and approvals;
ensure that they have the necessary rights and permissions to use any materials supplied to the Designer;
carefully check all proofs, artwork, text, contact information, dimensions and other details before giving final approval.
Delays in receiving information, content, feedback or approval from the Client may affect Project timescales and delivery dates.
6. Inactive Projects
Where a Project is awaiting Client feedback, approval, content or other required information for more than 30 days, Crafti Corgi Ltd may place the Project on hold.
Where no response is received following a final reminder, Crafti Corgi Ltd reserves the right to close the Project as inactive. Any initial deposit remains non-refundable.
If the Client subsequently wishes to reopen an inactive Project, a £50 reactivation fee may be payable before work recommences.
Recommencement will be subject to the Designer's current availability, and any previously agreed Project timelines or delivery dates will no longer apply.
Any concepts, proofs or preliminary artwork supplied prior to closure remain subject to the Intellectual Property and Usage Rights provisions within these Terms and may not be used unless and until the relevant payment requirements have been met.
7. Intellectual Property and Usage Rights
Copyright in the final approved Deliverables transfers to the Client upon receipt of full payment, except where otherwise agreed in writing or where third-party licensing restrictions apply.
Prior to full payment, copyright remains with Crafti Corgi Ltd and the Deliverables may not be used, reproduced, published or distributed by the Client.
Copyright transfer applies only to the final Deliverables agreed as part of the Project.
Working files, unused concepts, preliminary designs, sketches, drafts and other developmental material remain the property of Crafti Corgi Ltd unless otherwise agreed in writing.
Editable or source files such as AI, PSD or INDD files are not included unless specifically listed as Deliverables or separately agreed.
Crafti Corgi Ltd retains the right to display completed work in its portfolio, website, social media, award submissions and other self-promotional material unless otherwise agreed in writing.
8. Third-Party Assets
Third-party assets including fonts, stock photography, illustrations, mock-ups, software, templates or other licensed materials may be subject to separate licence terms.
Where a third-party licence cannot legally be transferred, ownership of that asset does not transfer to the Client.
The Client is responsible for purchasing or maintaining any licences required for their continued use of third-party assets unless otherwise agreed in writing.
9. Cancellation and Termination
If the Client cancels a Project after work has begun, any deposit already paid remains non-refundable.
Additional charges may apply depending on the amount of work completed at the point of cancellation, including any applicable kill fee under clause 15.
Any outstanding invoices or other amounts already due remain payable.
Crafti Corgi Ltd reserves the right to suspend or terminate a Project in the event of non-payment, breach of these Terms, abusive or unreasonable conduct, or any other circumstances that make continuation of the Project unreasonable.
10. Delivery and File Formats
Final Deliverables will be supplied in the formats agreed for the Project.
Editable or working source files, including formats such as AI, PSD and INDD, are not included unless explicitly agreed as part of the Project and may incur an additional fee.
Crafti Corgi Ltd is not responsible for ensuring compatibility with software, systems or production processes that were not disclosed or agreed as part of the original Project.
11. Proofing, Approval and Liability
The Client is responsible for carefully checking and approving all final artwork before production, publication or use.
This includes, where applicable, checking:
spelling and grammar;
names, addresses and contact details;
prices and dates;
dimensions and quantities;
images and other supplied content;
QR codes, URLs and other functional elements;
any other information contained within the artwork.
Crafti Corgi Ltd will take reasonable care in preparing all work but will not be responsible for errors or omissions that were present in artwork approved by the Client.
Where work is intended for print, manufacture, signage or other third-party production, the Client should not proceed with production until final artwork has been approved.
Crafti Corgi Ltd will not be liable for indirect or consequential losses resulting from the use or misuse of the Deliverables.
12. Confidentiality
Both parties agree to keep confidential information received in connection with a Project private and not disclose it to third parties except where necessary to carry out the Project, where permission has been given, or where disclosure is required by law.
13. Governing Law
These Terms and any dispute or claim arising from them are governed by the laws of England and Wales.
14. Rush Fees
Projects requiring expedited turnaround, priority scheduling or work outside normal timescales may incur an additional rush fee.
Any applicable rush fee will be communicated and agreed before the relevant work is undertaken.
15. Kill Fee
Where a Project is cancelled or paused indefinitely by the Client after work has commenced, Crafti Corgi Ltd may charge a kill fee based on the amount of work completed and resources committed to the Project.
As a general guide:
Up to 25% completed: up to 25% of the remaining Project fee
25%–50% completed: up to 50% of the remaining Project fee
More than 50% completed: up to 75–100% of the remaining Project fee, depending on the work completed
Any initial deposit remains non-refundable and will be taken into account when determining any further amount payable.
16. File Storage Policy
Crafti Corgi Ltd will normally retain Project files for at least 6 months following Project completion.
After this period, files may be archived or permanently deleted without notice.
Crafti Corgi Ltd cannot guarantee the indefinite storage or availability of Project files, and Clients should retain their own copies of all final Deliverables.
Retrieval of archived files may be subject to an administrative fee.
17. Communication
Crafti Corgi Ltd will communicate with Clients through the contact methods agreed for the Project.
Standard working hours and reasonable response times apply. Communication requirements substantially beyond those reasonably expected for the agreed Project may be treated as additional work.
18. Branding Usage Guidelines
Where branding assets or brand guidelines are supplied, the Client is responsible for ensuring that those assets are subsequently used correctly.
Crafti Corgi Ltd is not responsible for alterations, modifications or applications of the branding made by the Client or third parties after the final Deliverables have been supplied.
19. Printing and Third-Party Production
Where Crafti Corgi Ltd arranges, manages or assists with printing, signage, manufacture or other third-party production:
reasonable care will be taken when preparing and supplying production-ready artwork;
reasonable variations in colour, finish, materials, trimming, positioning or other characteristics may occur as part of normal production processes;
Crafti Corgi Ltd cannot guarantee exact colour matching between screens, desktop printers and commercially produced materials;
third-party production timescales may be outside Crafti Corgi Ltd's direct control.
Where the Client appoints a printer, manufacturer or other supplier directly, responsibility for that supplier's production process and finished output remains with the Client and supplier.
20. Acceptance of Terms
By accepting a quotation or estimate, instructing Crafti Corgi Ltd to commence work, paying a deposit or invoice, or otherwise engaging Crafti Corgi Ltd to provide services, the Client confirms that they have read and accepted these Terms & Conditions.
Where specific terms are agreed in writing for an individual Project, those specific terms will take precedence over these general Terms & Conditions in the event of any conflict.
